Terms of Service

BiyaLink is a technology product of DenoSys LTD. BiyaLink is not a bank and does not accept deposits or hold customer funds. Account, payment, transfer, card, foreign exchange, and related regulated services available through BiyaLink are provided by licensed financial institution and payment service partners.

1. About These Terms

These Terms of Service form a binding agreement between you and DenoSys LTD regarding your access to and use of the BiyaLink website, mobile application, and related services. In these Terms, "BiyaLink," "DenoSys," "we," "us," and "our" refer to DenoSys LTD. "You" and "your" refer to the person who registers for or uses BiyaLink.

By creating an account, accessing BiyaLink, or using any service, you confirm that you have read, understood, and agreed to these Terms, our Privacy Policy, our Electronic Signature and Consent Agreement, and any product-specific terms presented to you. If you do not agree, do not create an account or use BiyaLink.

2. Eligibility

To register for and use BiyaLink, you must:

  • Be at least 18 years old
  • Be legally resident in Nigeria
  • Have the legal capacity to enter into a binding agreement
  • Provide a valid phone number, email address, and identity information accepted by us and our partners
  • Complete all identity verification and compliance checks required for the services you request
  • Use the account for lawful personal purposes

BiyaLink is not currently offered to businesses or persons residing outside Nigeria. We may refuse an application where eligibility, identity, risk, regulatory, or partner requirements are not satisfied.

3. Our Role and Our Financial Partners

DenoSys develops and operates the BiyaLink technology platform. We provide the application interface, account access tools, transaction instructions, customer support, security controls, and integrations that connect you to services supplied by licensed partners.

Customer funds are held by the financial institution responsible for the relevant account or service. Transfers, virtual accounts, cards, currency conversion, bill payments, and other regulated services may be processed or provided by different partners. The name of the applicable provider and any additional terms may be shown in the app, during onboarding, before a transaction, or when a product is issued.

A partner may accept, reject, delay, reverse, restrict, or discontinue a service where required by law, its licence, network rules, risk controls, or operating policies. We may take corresponding action on your BiyaLink account.

4. Account Registration and Accuracy of Information

You must provide complete, accurate, and current information during registration and whenever we request an update. You must not register using another person's identity, phone number, bank information, identification document, or biometric information.

Each person may maintain only one primary BiyaLink account unless we expressly permit otherwise. You must promptly update information that changes, including your name, address, phone number, email address, residency, occupation, source of funds, or identification details.

You authorize us and our service providers to verify the information you submit, obtain verification results from lawful sources, and share required information with financial partners for account opening, fraud prevention, regulatory compliance, and service delivery.

5. Identity Verification, AML, and Compliance Checks

We may require your Bank Verification Number, National Identification Number, identity document, photograph, selfie, liveness check, residential address, source of funds, occupation, transaction purpose, or other information needed to verify your identity and assess risk.

We and our partners may screen you against sanctions, watchlists, politically exposed person records, fraud databases, and other compliance sources. Checks may occur during registration and throughout your use of BiyaLink.

We may request additional documents, repeat a verification check, restrict a feature, delay a transaction, reject an application, or suspend an account while a review is pending. We may disclose information to regulators, law enforcement agencies, courts, financial institutions, or other authorized persons where required or permitted by law. We are not required to disclose confidential monitoring methods or the existence of a legally restricted report or investigation.

6. Account Security

You are responsible for protecting your password, PIN, one-time passwords, recovery codes, device access, and any biometric authentication enabled on your device. Do not share these credentials or allow another person to operate your account.

You must use a secure device, keep your operating system and application updated, and take reasonable precautions against phishing, malware, SIM swap fraud, social engineering, and unauthorized access. We will never ask you to disclose your password, full PIN, or one-time password by phone, email, or social media.

Notify us immediately through the in-app support channel or at hello@biyalink.com if your device, SIM, credentials, or account may have been compromised. You remain responsible for instructions authenticated with your credentials until we receive notice and have had a reasonable opportunity to secure the account, except where applicable law provides otherwise.

7. Services

Subject to eligibility, availability, verification level, and partner approval, BiyaLink may provide access to:

  • NGN accounts or wallets provided and maintained by regulated partners
  • Funding through Nigerian bank transfers
  • Transfers to other BiyaLink users and Nigerian bank accounts
  • Virtual NGN and USD payment cards
  • Airtime, mobile data, electricity, television, internet, and other bill payments
  • Conversion between supported currencies through authorized providers
  • Transaction records, receipts, account statements, and account management tools

Available services may differ by customer, verification level, device, location, partner, currency, or network. A feature shown on our website or product roadmap is not guaranteed to be available to every customer or at any particular time.

8. Funding, Balances, and Transfers

You may fund your account using the methods displayed in BiyaLink. A funding instruction is complete only after the relevant financial partner confirms receipt and credits the applicable account. Processing time may depend on banks, payment networks, verification checks, system availability, and transaction review.

Before confirming a transfer, you must verify the recipient's name, bank, account number, amount, currency, and purpose. A completed transfer may be final and may not be reversible. If you send money to the wrong recipient, we may assist with a recovery request, but we cannot guarantee recovery or force a recipient or another financial institution to return the funds.

The balance shown in BiyaLink may include pending, reserved, reversed, or unavailable amounts. We may place a temporary hold where a transaction is disputed, reversed, under review, subject to a chargeback, or required to satisfy a legal or partner obligation.

9. Virtual Cards

Virtual cards accessed through BiyaLink are issued and processed by licensed card and payment partners. Card use is subject to these Terms, any cardholder agreement shown before issuance, card network rules, merchant acceptance, available balance, transaction limits, and issuer approval.

You must use a card only for your own lawful transactions. You must not sell, transfer, rent, share, or allow another person to use your card details. We or the issuer may decline a transaction, place a hold, replace card details, block a merchant category, suspend a card, or terminate card access for security, compliance, network, or operational reasons.

Merchant authorizations, reversals, refunds, tips, subscriptions, exchange rates, and offline transactions may affect your available balance after the original transaction. A merchant refund is complete only when the card issuer or processor receives and posts it.

10. Currency Conversion

Where currency conversion is available, the exchange rate and any applicable fee will be displayed before you confirm the transaction. Rates may include a margin or partner charge and may change before confirmation. The rate applied to a card transaction may be determined by the card issuer, processor, or card network when the transaction is authorized, cleared, reversed, or refunded.

BiyaLink does not provide investment, trading, or foreign exchange advisory services. Currency conversion is offered only to support permitted payment and account services.

11. Fees, Charges, and Taxes

We will disclose applicable fees, charges, and exchange rates before you confirm a transaction or subscribe to a paid service. Fees may be charged by DenoSys, a financial partner, a card issuer, a payment network, a biller, a bank, or another service provider.

You authorize the deduction of disclosed fees and amounts you owe from your available balance. Fees for a completed service are non-refundable unless the charge resulted from an error, the service was not provided, or a refund is required by law or partner rules.

You are responsible for taxes, duties, levies, or reporting obligations arising from your transactions, income, or use of BiyaLink. We may deduct or report an amount where required by law.

12. Transaction and Account Limits

Daily, monthly, per-transaction, funding, transfer, card, withdrawal, and balance limits may apply. Limits may depend on your identity verification level, account history, risk profile, service provider, applicable law, and network rules.

Current limits will be displayed in the app or communicated to you. We may reduce, increase, or apply a temporary limit where reasonably necessary for security, compliance, service management, or partner requirements.

13. Transaction Authorization and Records

A transaction submitted through your authenticated account is treated as authorized by you unless you report unauthorized access promptly and an investigation establishes otherwise. We may require a PIN, one-time password, biometric confirmation, device confirmation, or another security step before processing an instruction.

Our records and the records of the relevant financial partner may be used to establish the date, time, amount, status, destination, authentication method, and other details of a transaction. You should review your balance and transaction history regularly and keep receipts needed for your records.

14. Failed, Pending, Reversed, and Duplicate Transactions

A transaction may fail, remain pending, or be reversed because of insufficient balance, incorrect information, compliance review, technical failure, bank or network delay, biller response, merchant action, service downtime, or another operational reason.

Do not repeat a pending transaction unless the app clearly states that it failed. If a duplicate debit occurs, notify us with the relevant reference numbers. We will investigate with the responsible provider and correct a confirmed processing error in accordance with applicable rules.

15. Unauthorized Transactions and Errors

Report an unauthorized transaction, incorrect debit, missing credit, card dispute, or account error as soon as you become aware of it. Your report should include your account details, transaction reference, amount, date, recipient or merchant, and a clear description of the issue.

We may request supporting documents, secure your account, temporarily restrict activity, and share the report with the relevant financial institution, card issuer, payment network, merchant, bank, or biller. Resolution time depends on the type of transaction and the rules of the responsible provider. We will communicate material updates and any action required from you.

16. Prohibited Activities

You must not use BiyaLink to:

  • Commit fraud, impersonation, theft, deception, or any unlawful act
  • Launder money, finance terrorism, evade sanctions, or conceal the source or destination of funds
  • Operate a money transfer, currency exchange, payment collection, escrow, lending, investment, or other regulated business without our written approval and any required licence
  • Buy, sell, or facilitate prohibited goods or services, including illegal drugs, unlawful weapons, stolen property, adult sexual services, or unlawful gambling
  • Process cryptocurrency transactions or fund cryptocurrency platforms where we or our partners prohibit such activity
  • Use the account as a mule account, receive funds for unknown persons, sell account access, or disguise the true owner or purpose of a transaction
  • Harass, threaten, exploit, or defraud another person
  • Abuse promotions, chargebacks, refunds, referrals, cards, payment networks, or bill payment services
  • Introduce malicious software, probe security controls, scrape the service, reverse engineer protected components, or disrupt our systems
  • Create duplicate or false accounts, submit forged documents, or provide misleading information

We may reject, block, report, or reverse activity connected with a prohibited use and may retain records needed for investigation, compliance, and dispute handling.

17. Promotions and Rewards

We may offer cashback, referral rewards, discounts, or other promotions under separate rules. Eligibility, duration, reward value, qualifying activity, limits, and withdrawal conditions will be stated in the applicable promotion. We may withhold or recover a reward obtained through error, abuse, duplicate accounts, manipulation, or prohibited conduct.

18. Suspension, Restriction, and Termination

We may delay a transaction, restrict a feature, freeze access, suspend your account, or terminate services where reasonably necessary to:

  • Protect you, another customer, DenoSys, a partner, or the public from fraud, loss, abuse, or security threats
  • Complete identity, sanctions, source of funds, transaction, or compliance reviews
  • Respond to a court order, regulatory request, law enforcement request, legal obligation, or partner instruction
  • Address a breach of these Terms, an unpaid amount, a negative balance, a chargeback, or suspected prohibited activity
  • Manage technical, network, product, or operational risk

Where permitted, we will notify you of the restriction and the steps required to resolve it. We may be unable to provide advance notice or specific reasons where disclosure is prohibited or could undermine a security or compliance review.

19. Closing Your Account

You may request account closure through the app or by contacting support. Before closure, you must complete or cancel pending transactions, pay amounts owed, resolve disputes, and provide instructions for any remaining available balance.

Closure does not cancel rights or obligations that arose before the account was closed. We and our partners may retain information and restrict access to funds where required for chargebacks, disputes, investigations, legal process, regulatory retention, or unpaid obligations.

20. Inactive and Dormant Accounts

An account with no customer-initiated activity for an extended period may be treated as inactive or dormant under applicable partner rules. We may require renewed identity verification before restoring full access. Any treatment of funds in a dormant account will be handled by the institution holding those funds and in accordance with applicable law.

21. Privacy and Data Protection

Our Privacy Policy explains how we collect, use, store, share, protect, and retain personal data. By using BiyaLink, you acknowledge that data may be shared with identity verification providers, financial institutions, card issuers, payment processors, billers, fraud prevention services, hosting providers, communication providers, regulators, and other service providers where necessary for lawful business and compliance purposes.

You may exercise applicable data protection rights through the methods stated in our Privacy Policy. Some information must be retained after account closure to meet legal, regulatory, security, fraud prevention, and dispute resolution obligations.

22. Electronic Communications and Consent

You agree to receive agreements, notices, receipts, statements, security alerts, service messages, and other communications electronically through the app, website, email, SMS, push notification, or another contact method you provide.

Electronic acceptance, a PIN, a one-time password, biometric confirmation, or another approved authentication method may serve as your signature and authorization. You are responsible for maintaining a working device, internet access, and current contact information. Marketing messages will be handled according to your communication choices and applicable law.

23. Third-Party Services and Links

BiyaLink may contain services, content, or links supplied by third parties. Their terms, privacy notices, availability, and operating rules may apply separately. We are not responsible for a third-party website or service that is not operated by DenoSys, but we will assist with issues involving a partner service accessed directly through BiyaLink where reasonably possible.

24. Intellectual Property

BiyaLink, including its software, design, text, graphics, logos, interfaces, databases, and other content owned by DenoSys, is protected by applicable intellectual property laws. We grant you a limited, personal, revocable, non-exclusive, and non-transferable right to use BiyaLink for its intended purpose while your account remains active.

You may not copy, sell, sublicense, modify, distribute, create derivative works from, or commercially exploit any protected part of BiyaLink except with our written permission or where applicable law expressly permits it.

25. Service Availability and Changes

We work to keep BiyaLink available and secure, but uninterrupted service is not guaranteed. Maintenance, upgrades, internet failure, cyber incidents, bank downtime, payment network failure, power disruption, telecommunications failure, partner outages, legal restrictions, or events outside our reasonable control may delay or prevent access.

We may add, change, suspend, or discontinue a feature where needed for security, compliance, commercial, technical, or partner reasons. Where a material change adversely affects an active service, we will provide notice where reasonably practicable and legally required.

26. Disclaimers

BiyaLink is provided on an "as available" basis. To the extent permitted by law, we do not guarantee that every service will always be available, error-free, suitable for a particular purpose, or accepted by every bank, merchant, biller, card network, or device.

Nothing in BiyaLink is financial, investment, tax, or legal advice. Information displayed in the app does not replace advice from a qualified professional. Nothing in these Terms excludes a warranty, duty, remedy, or consumer right that cannot lawfully be excluded.

27. Limitation of Liability

DenoSys is responsible for direct loss caused by our fraud, wilful misconduct, gross negligence, or breach of a duty that cannot be excluded under applicable law. We are not responsible for indirect, special, punitive, or consequential loss, including lost profits, lost business, or loss of opportunity, where such exclusion is permitted by law.

We are not liable for loss caused solely by incorrect instructions you supplied, your failure to protect account credentials, an action required by law, or the failure of an independent bank, card network, telecommunications provider, merchant, biller, or other third party outside our reasonable control. This does not limit any responsibility we have to investigate a complaint, correct our own error, or cooperate with the provider responsible for a transaction.

28. Your Responsibility for Loss

You are responsible for losses, charges, claims, or expenses caused by your unlawful use of BiyaLink, deliberate breach of these Terms, false information, infringement of another person's rights, or instructions you knowingly authorized. We will not seek recovery from you to the extent a loss was caused by our own breach, negligence, or unlawful conduct.

29. Complaints

You may submit a complaint through in-app support or by emailing hello@biyalink.com. Include your registered name, phone number or email address, transaction reference where applicable, and a clear description of the issue.

We will acknowledge, investigate, and respond to complaints within the timelines applicable to the service and responsible financial partner. If the issue concerns a regulated service, we may refer or escalate it to the institution that provided the account, card, transfer, or payment service. You retain the right to escalate an unresolved complaint to the appropriate regulator or court.

30. Governing Law and Disputes

These Terms are governed by the laws of the Federal Republic of Nigeria. Before starting formal proceedings, you and DenoSys should first attempt to resolve the dispute through the complaint process and good-faith discussions.

If the dispute is not resolved, either party may refer it to a court of competent jurisdiction in Nigeria. The parties may agree in writing to mediation or arbitration after a dispute arises. Nothing in this section prevents either party from seeking urgent protective relief or using a complaint or remedy available under applicable consumer protection law.

31. Changes to These Terms

We may update these Terms to reflect changes in the law, our services, security controls, partner arrangements, fees, or operating practices. We will publish the revised Terms and update the date shown above.

We will provide reasonable notice of a material change where required. If a change requires your express consent, we will ask you to accept it before you continue using the affected service. Otherwise, continued use after the effective date means you accept the revised Terms.

32. General Provisions

If a provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in effect. A delay in enforcing a right is not a waiver of that right. These Terms, together with the policies and product terms incorporated by reference, constitute the agreement between you and DenoSys regarding BiyaLink.

You may not transfer your account or assign your rights under these Terms. We may assign or transfer our rights and obligations as part of a restructuring, financing, acquisition, sale, or transfer of a service, provided your legal rights are not reduced. Provisions that by their nature should continue after account closure will survive termination.
